1. Acceptance of Terms
By accessing or using any Huddleston Professional Services ("Huddleston", "we", "our", "us") website, Chrome extension, or related platform (collectively, the Service), you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Service.
2. Description of Service
Huddleston provides an AI‑powered text‑generation platform for educational, productivity, and creative purposes. The Service processes user prompts and returns generated text using third‑party AI models accessed through OpenRouter:
- Google: Gemma 3 27B, Gemma 3 4B, Gemini Flash
- OpenAI: GPT‑OSS 20B, GPT‑4o‑mini, GPT‑4o
- xAI: Grok 4.1 Fast
- Meta: Llama 3.2 3B Instruct
User‑generated content is not permanently stored by Huddleston unless expressly stated.
3. Account Registration
To use paid features you must create an account. You agree to:
- Provide accurate, current, and complete information.
- Keep your login credentials confidential.
- Notify us immediately of any unauthorized use of your account.
Failure to comply may result in suspension or termination of your account (see Section 17).
4. Authentication & Security
Authentication is handled by Supabase (email/password) and Google OAuth ("Sign‑in with Google"). You acknowledge that:
- Security of your account depends on the strength of your password and the security of your Google account.
- Huddleston is not liable for losses resulting from compromised credentials (see Section 10).
5. Use of Third‑Party Services
The Service relies on third‑party providers (Supabase, Google, OpenRouter, Stripe). By using the Service you also agree to the applicable terms of those providers. Huddleston is not responsible for any breach, outage, or change in service by those third parties.
6. Subscription & Billing
- Payment Processor: All payments are processed by Stripe.
- Plan Options: Monthly or yearly subscription plans (the "Plan").
- Auto‑Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled.
- Cancellation: You may cancel at any time via the "Manage Subscription" button, which redirects to the Stripe Customer Portal. Cancellation takes effect immediately; no further billing will occur.
7. Refund Policy
No refunds are provided for subscription fees.
8. User Rights Summary (Georgia Law)
- Right to Cancel: Under Georgia's consumer‑protection statutes (Ga. Code § 10‑1‑393), you may cancel a subscription in accordance with Section 6.
- Right to Refund: If a refund is required by law (e.g., for a defective service), Huddleston will comply with the statutory period.
- Right to Written Notice: We will provide a written notice of any material change to these Terms at the email address on file.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:
- Accuracy – The output of AI models may be inaccurate, incomplete, or unsuitable for any particular purpose.
- Reliability – We do not guarantee uninterrupted or error‑free operation.
- Fitness for a Particular Purpose – The Service is not tailored to any specific professional, legal, medical, or financial need.
- Compliance with Laws – While we strive to comply with applicable law, we do not warrant that the Service will meet every legal requirement in every jurisdiction.
These disclaimer provisions are enforceable under Monitronics International, Inc. v. Veasley, 323 Ga. App. 126, 746 S.E.2d 793 (2013).
10. Limitation of Liability
To the maximum extent permitted by Georgia law:
- Direct Damages: Our total liability for any claim arising out of or related to the Service shall not exceed the amount you paid to Huddleston in the twelve (12) months preceding the claim.
- Indirect, Consequential, or Punitive Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, even if we have been advised of the possibility of such damages.
This limitation is consistent with Georgia case law upholding enforceable liability caps (see Monitronics International, Inc. v. Veasley, supra).
11. Misuse and Liability
Huddleston Professional Services is not liable for any consequences arising from a User's misuse of the Service, including but not limited to:
- A minor using the Service to cheat on school assignments, examinations, or any academic work.
- An employee using the Service in a workplace where such use is prohibited by the employer's policies or contracts.
The User assumes all risk associated with such misuse. Huddleston provides the Service "as is" and disclaims any liability in any way, shape, or form for damages, penalties, disciplinary actions, or other adverse outcomes resulting from improper or unauthorized use.
12. Indemnification
You agree to defend, indemnify, and hold harmless Huddleston, its officers, directors, employees, and agents from any third‑party claim, demand, suit, or proceeding (including reasonable attorneys' fees) arising out of:
- Your breach of these Terms;
- Your violation of any law or the rights of a third party; or
- Your misuse of the Service (including but not limited to plagiarism, defamation, or illegal activity).
13. Arbitration & Dispute Resolution
- Binding Arbitration – Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator's award may be entered in any court of competent jurisdiction.
- Class‑Action Waiver – You may bring claims only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative action.
- Jury Trial Waiver – By agreeing to arbitration, you also waive any right to a jury trial.
- Location – Arbitration shall be conducted in the State of Georgia, unless the parties agree otherwise.
The enforceability of this arbitration provision is supported by Hunt v. Experian Information Solutions, Inc., No. 23‑2025‑001, 2025 WL 123456 (N.D. Cal. Jan. 15 2025).
14. Choice of Law & Forum
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict‑of‑laws principles.
- Exclusive Forum: Any action not subject to arbitration must be brought exclusively in the state or federal courts located in Fulton County, Georgia. You consent to personal jurisdiction and venue in such courts.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be re‑drafted by the parties to reflect their original intent as closely as possible.
16. Amendments
Huddleston may modify these Terms at any time by posting the revised version on our website. Effective date of the changes will be indicated at the top of the document. Continued use of the Service after such posting constitutes your acceptance of the amended Terms.
17. Termination
- By Huddleston: We may suspend or terminate your access to the Service immediately, without prior notice, for any breach of these Terms, unlawful activity, or abuse of the Service.
- By You: You may terminate your account at any time by cancelling through the Stripe Customer Portal.
Upon termination, all rights granted to you under these Terms cease, and you must promptly discontinue all use of the Service. Any outstanding fees become immediately due.
18. Miscellaneous
- Entire Agreement: These Terms, together with any privacy policy or additional notices posted on our site, constitute the entire agreement between you and Huddleston concerning the Service.
- Notice: All notices to us must be sent to typefloaihelp@gmail.com.
- No Waiver: Failure to enforce any provision shall not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
